Please read these terms carefully before using REP Helper. By accessing our service, you agree to be bound by these terms.

Introduction

Welcome to REP Helper ("Company", "we", "our", "us")! These Terms of Service ("Terms", "Terms of Service") govern your use of our web application, mobile application, and related services operated by REP Helper.

This includes our web application at app.rephelper.ai, our mobile application available on the Google Play Store, and our marketing website at rephelper.ai.

Our Privacy Policy also governs your use of our Service and explains how we collect, safeguard, and disclose information that results from your use of our web pages. Your agreement with us includes these Terms and our Privacy Policy ("Agreements"). You acknowledge that you have read and understood Agreements, and agree to be bound by them.

If you do not agree with (or cannot comply with) Agreements, then you may not use the Service. These Terms apply to all visitors, users, and others who wish to access or use the Service.

Use of Our Service

REP Helper provides tools designed to help real estate professionals track and document their qualifying activities for IRS Real Estate Professional status. Our Service includes:

  • AI-powered activity logging and time tracking
  • Integration with email and calendar services
  • Report generation for tax documentation
  • Dashboard and analytics features
  • Mobile application for on-the-go activity tracking

You may use our Service only for lawful purposes and in accordance with these Terms. You agree not to use the Service in any way that violates any applicable federal, state, local, or international law or regulation.

Accounts

When you create an account with us, you guarantee that you are above the age of 18, and that the information you provide us is accurate, complete, and current at all times. Inaccurate, incomplete, or obsolete information may result in the immediate termination of your account on our Service.

You are responsible for maintaining the confidentiality of your account and password, including but not limited to the restriction of access to your computer and/or account. You agree to accept responsibility for any and all activities or actions that occur under your account and/or password.

You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account. You may not use as a username the name of another person or entity that is not lawfully available for use.

Subscription & Billing

REP Helper offers multiple subscription tiers: Starter, Professional, and Elite. Each tier provides different levels of access to features and functionality as described on our pricing page.

Recurring Billing. Paid subscriptions are billed on a recurring basis through our payment processor, Stripe. By subscribing to a paid plan, you authorize us to charge your payment method on each subscription anniversary date until you cancel.

Free Trials. Free trial periods are not currently offered. If trial periods are introduced in the future, your subscription will automatically convert to a paid subscription at the end of the trial unless you cancel before it ends.

Cancellation. You may cancel your subscription at any time through your account settings or by contacting us. Cancellation takes effect at the end of your current billing period. You will retain access to paid features until the end of the period you have already paid for.

Downgrades. If you downgrade your subscription tier, your access to higher-tier features will be reduced at the end of your current billing period.

Refunds. We do not provide refunds for partial billing periods. All fees are non-refundable except as required by applicable law.

Price Changes. We reserve the right to change subscription pricing at any time. We will provide at least 30 days' notice before any price changes take effect. Continued use of the Service after a price change constitutes acceptance of the new pricing.

No Tax Advice

REP Helper is a tracking and documentation tool. We are NOT a tax advisor, and we do not provide tax, legal, or accounting advice of any kind.

Our Service is designed to help you organize, track, and document your real estate activities and hours. While our tools reference IRS thresholds and tests (such as the 750-hour test and the 50% test for Real Estate Professional status), this information is provided solely for tracking purposes and should not be interpreted as tax guidance or a determination of your tax status.

You should consult your CPA, tax attorney, or other qualified tax professional for guidance on tax strategies, positions, and the applicability of Real Estate Professional status to your specific situation.

The determination of IRS Real Estate Professional status is ultimately your responsibility and is subject to IRS review and approval. REP Helper is not liable for any tax outcomes, penalties, or consequences arising from your reliance on information presented through our Service.

AI-Generated Content

REP Helper includes AI-powered features that can generate activity descriptions, categorize activities, and extract information from voice recordings, images, and text. These features are powered by Google Gemini and other third-party AI services.

AI output is provided as suggestions only. AI-generated content may contain inaccuracies, errors, or incomplete information. You are solely responsible for reviewing, verifying, and approving all AI-generated content before it is saved to your account.

Data processed by AI features is transient and is not stored by the AI service provider after the activity is created. However, the resulting activity data you approve is stored in your account as part of the Service.

We make no guarantee of the accuracy, completeness, or reliability of AI-generated content. You should not rely on AI-generated content without independent verification.

User Content & Data Ownership

You retain full ownership of all data and content you input into the Service, including but not limited to property information, activity records, time tracking data, evidence uploads, and any other user-generated content.

By using the Service, you grant REP Helper a limited, non-exclusive, non-transferable license to process, store, and display your data solely for the purpose of providing and improving the Service. We do not claim ownership of your content.

Upon account deletion, your data will be permanently removed in accordance with our Privacy Policy. You may request a copy of your data at any time by contacting us at [email protected].

Third-Party Integrations

Our Service may integrate with third-party services, including Microsoft (Outlook) for email and calendar synchronization. These integrations are optional and require your explicit authorization.

You are responsible for your accounts with third-party services and for complying with their respective terms of service. REP Helper is not responsible for the availability, accuracy, or functionality of third-party services.

Third-party integrations may be modified, suspended, or discontinued at any time due to changes in the third-party service or at our discretion. We are not liable for any disruption to the Service caused by third-party service changes or outages.

Mobile Application Terms

Our mobile application is available for download on the Google Play Store. By downloading or using our mobile application, you agree to the following additional terms:

  • The mobile application is subject to the Google Play Store Terms of Service.
  • You acknowledge that Google LLC is a third-party beneficiary of these Terms as they relate to the mobile application, and that Google has the right to enforce these Terms against you.
  • Device and operating system requirements may apply. You are responsible for ensuring your device meets any minimum requirements for the application.
  • Application updates may be required for continued use. We may release updates that include bug fixes, new features, or security patches, and continued use of the application may require you to install these updates.

In the event of any conflict between these Terms and the Google Play Store Terms of Service, the Google Play Store Terms of Service shall prevail with respect to your use of the mobile application.

Intellectual Property

The Service and its original content (excluding Content provided by users), features, and functionality are and will remain the exclusive property of REP Helper and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries.

Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of REP Helper. Nothing in these Terms constitutes a transfer of any intellectual property rights from us to you.

Prohibited Uses

You agree not to use the Service:

  • To transmit any advertising or promotional material, including "spam"
  • To impersonate or attempt to impersonate the Company or its employees
  • To engage in any conduct that restricts or inhibits anyone's use of the Service
  • To introduce viruses, trojans, worms, or other malicious code
  • To attempt to gain unauthorized access to any portion of the Service
  • To use any robot, spider, or automatic device to access the Service
  • To fabricate or falsify activity records or time tracking data

Termination

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.

If you wish to terminate your account, you may do so through your account settings within the application or by emailing us at [email protected]. Upon receiving your deletion request, your data will be permanently removed within 30 days in accordance with our Privacy Policy.

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Indemnification

You agree to defend, indemnify, and hold harmless REP Helper and its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, actions, demands, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

  • Your use of the Service or any activity under your account
  • Your violation of these Terms
  • Your violation of any third-party rights, including intellectual property, privacy, or other proprietary rights
  • Your violation of any applicable law, rule, or regulation
  • Any content or data you submit, post, or transmit through the Service

Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall REP Helper, its officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

  • Your access to or use of (or inability to access or use) the Service
  • Any conduct or content of any third party on the Service
  • Any content obtained from the Service, including AI-generated content
  • Unauthorized access, use, or alteration of your transmissions or content
  • Any tax-related outcomes or determinations, including IRS decisions regarding Real Estate Professional status

Our total liability to you for all claims arising out of or relating to the Service shall not exceed the amount you have paid to REP Helper in the twelve (12) months preceding the event giving rise to the claim, or one hundred dollars ($100), whichever is greater.

These limitations apply regardless of the theory of liability (whether in contract, tort, strict liability, or otherwise), even if REP Helper has been advised of the possibility of such damages.

Disclaimer of Warranty

These services are provided by REP Helper on an "AS IS" and "AS AVAILABLE" basis. REP Helper makes no representations or warranties of any kind, express or implied, as to the operation of their services, or the information, content, or materials included therein.

IMPORTANT: REP Helper does not provide tax, legal, or accounting advice. Our Service is designed to help you track and organize your real estate activities, but the determination of Real Estate Professional status is ultimately made by the IRS. We recommend consulting with a qualified tax professional regarding your specific situation.

To the full extent permissible by applicable law, REP Helper disclaims all warranties, express or implied, including, but not limited to, implied warranties of merchantability and fitness for a particular purpose.

Dispute Resolution

Informal Resolution. Before filing any formal legal action, you agree to first attempt to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the Service by contacting us at [email protected]. We will attempt to resolve the dispute through good-faith negotiation within thirty (30) days.

Binding Arbitration. If informal resolution is unsuccessful, any remaining dispute shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. The arbitration shall be conducted in the State of Delaware, unless both parties agree to a different location or to conduct the arbitration remotely.

Small Claims Exception. Notwithstanding the above, either party may bring an individual action in small claims court for disputes within the court's jurisdictional limits.

Class Action Waiver. You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration.

Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Service.
